These Terms and Conditions (“Terms”) govern your access to and use of the Buildmetrics platform, application and website (the “Service”), operated by BUILDMETRICS SRL, CUI 51592519, Trade Register No. J2025025214007, with registered office at Str. Domnească 13, Bl. L, Sc. 3, Et. 1, Ap. 42, 800015 Galați, Romania (“Buildmetrics”, “we”, “us”).
By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service. Our Privacy Policy explains how we handle personal data and forms part of these Terms.
1. The Service
Buildmetrics is a quality-control and collaboration platform for construction teams. It lets participants manage projects and tasks, attach photo and video evidence, use checklists, run inspection and acceptance workflows, and produce handover reports — with each participant working in their own language.
Buildmetrics is a software tool for organizing collaboration between project participants and recording information. The Service does not perform technical supervision, engineering expertise, construction control or certification of work quality, and does not replace the services of licensed professionals. Decisions to perform, accept or reject work are made by users independently and at their own responsibility.
2. Pilot program
The Service is currently provided as part of a pilot program, until the official launch of the Service. During the pilot, the functionality of the Service may change, be limited, temporarily disabled or removed; we will give reasonable advance notice (for example, by e-mail to the address associated with your account) of significant changes to, or discontinuation of, functionality. Buildmetrics makes reasonable efforts to minimize the risk of data loss and applies measures to protect and back up data; nevertheless, during the pilot we do not guarantee the absence of data loss and recommend that users keep backup copies of important information. When the pilot ends, the Service may move to a paid offering under updated terms, or be discontinued with reasonable notice and an opportunity to export your data.
3. Eligibility
The Service is intended for business and professional use by persons aged 18 or over, acting for an organization involved in a construction project.
4. Accounts and roles
You are responsible for the accuracy of your registration details, for keeping your credentials confidential, and for activity under your account. Roles (such as general contractor, administrator, executor, inspector or customer) determine the actions and data available to each user.
5. Acceptable use and unlawful activity
You agree not to: use the Service unlawfully; upload content that infringes others’ rights or that you have no right to share; attempt to disrupt, reverse-engineer or gain unauthorized access to the Service; or use it to store data unrelated to legitimate construction-project activity.
The Service may not be used for any activity that violates applicable law, international sanctions or the rights of third parties.
6. Your content
You retain ownership of the projects, tasks, photos, videos, documents and other content you upload (“Your Content”). You grant us a limited license to host, store and process Your Content — including making working copies, caching, transmitting it to our processors and using the AI features — solely to operate and provide the Service.
You are responsible for Your Content, including for having a lawful basis to upload any personal data of third parties it may contain (for example, images of individuals on site). How we handle personal data is described in our Privacy Policy.
7. AI-assisted features
The Service offers AI assistance that drafts task descriptions and checklists. These outputs are suggestions to be reviewed and edited by you. We do not warrant that AI-generated content is accurate, complete or fit for a particular purpose, and you remain responsible for the tasks, checklists and decisions you adopt.
AI features are not intended to provide engineering, architectural, legal or other professional opinions. You must independently verify that generated descriptions, checklists and recommendations comply with applicable building codes and requirements. AI features are not used to make automated decisions producing legal effects for users.
8. Multilingual features
Buildmetrics may automatically translate tasks, comments, checklists and other materials. Automatic translations are produced using third-party technologies and may contain inaccuracies. In the event of any discrepancy between the original text and a translation, the original version of the record prevails, and you must independently verify critically important information.
9. No guarantee of compliance with local building codes
Buildmetrics does not warrant that tasks, descriptions, checklists, translations or other materials created in the Service comply with the building codes, technical regulations or laws of any particular country, region or municipality. Responsibility for compliance with applicable requirements lies with users and the professionals they engage.
10. Confidentiality of commercial information
Buildmetrics does not acquire ownership of users’ project data. Users retain exclusive rights to their projects, documents and other commercial information.
Buildmetrics does not itself use the content of users’ projects to train artificial-intelligence models, unless expressly agreed with the user.
11. Use of anonymized data
Buildmetrics may use anonymized and aggregated data for statistics, analytics, improving the Service and developing new features. Such data does not allow identification of specific users or projects and is not used to disclose clients’ commercial information.
12. Data protection and processing
We process personal data as described in our Privacy Policy. Where Buildmetrics processes personal data on behalf of a customer — for example, personal data the customer uploads about third parties — such processing is carried out under our Data Processing Agreement (DPA) consistent with Article 28 GDPR, also available with paid plans or on request at info@buildmetrics.eu.
13. Data export
You may request a copy of your data in a commonly used electronic format by contacting info@buildmetrics.eu, in line with your data-portability rights under applicable law.
14. Feedback
If you send us feedback, ideas or suggestions about the Service (“Feedback”), you grant Buildmetrics a perpetual, irrevocable, worldwide, royalty-free license to use that Feedback to operate and improve the Service, without obligation to you.
15. Intellectual property
The Service, including its software, design and trademarks, is owned by Buildmetrics or its licensors and is protected by law. These Terms do not grant you any rights in the Service other than the right to use it as permitted here.
16. Pricing and payment
The Service is currently provided free of charge during the pilot program. We will give advance notice before introducing any fees. Paid plans, trial periods and any renewal terms will be governed by separate conditions that you accept before any charge applies. If we introduce paid plans, we will notify you in advance and give you the opportunity to decline and to export your data before any charge is applied.
17. Service availability and support
We aim to keep the Service as available as we reasonably can, and to respond to support requests sent to info@buildmetrics.eu within a reasonable time. During the pilot program, however, the Service is provided without a guaranteed service level (SLA). Formal service-level commitments, if any, will be offered together with paid plans.
18. Disclaimer of warranties
During the pilot, the Service is provided “as is” and “as available”, without warranties of any kind to the extent permitted by law. We do not guarantee uninterrupted or error-free operation.
19. Limitation of liability
To the maximum extent permitted by applicable law, Buildmetrics shall not be liable for indirect, incidental or consequential damages, or for loss of profits, arising from your use of the Service.
In particular, Buildmetrics is not liable for:
- the quality of construction work, which is planned and carried out by users and their contractors;
- the acts or omissions of project participants;
- the accuracy of information uploaded by users;
- losses arising from errors in translation, AI generation or human errors of users;
- decisions made by users on the basis of information contained in the Service;
- temporary unavailability of the Service or delays of third-party services;
- loss of data caused by the actions of users or third parties.
Liability cap. Buildmetrics’ total aggregate liability arising out of or relating to the Service shall not exceed the total amounts paid by you for the Service in the twelve (12) months preceding the event giving rise to the liability.
Exceptions. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for: death or personal injury caused by negligence; willful misconduct or gross negligence; infringement of intellectual-property rights; breaches of confidentiality obligations; or breaches of data-protection obligations.
20. Force majeure
Buildmetrics is not liable for unavailability of the Service due to circumstances beyond its reasonable control, including: actions of internet service providers; power outages; actions of public authorities; cyberattacks; natural disasters; armed conflicts; epidemics; strikes; large-scale telecommunications network failures; actions of cloud-infrastructure providers; or other force-majeure events.
21. Suspension, termination and account deletion
We may suspend or terminate access in the event of a material breach of these Terms, a security threat, suspected fraud, or to prevent harm to the Service or to other users. You may stop using the Service at any time, and you may request deletion of your account by writing to info@buildmetrics.eu. Provisions that by their nature should survive termination will do so.
22. Notices
We may send you notices relating to the Service by e-mail to the address associated with your account, or by posting them within the Service; such notices are deemed duly given when sent or posted. You can contact us at info@buildmetrics.eu.
23. Changes to these Terms
We may update these Terms; the “Last updated” date reflects the latest version. We will give notice of material changes at least 30 days before they take effect, where practicable. Continued use after changes take effect constitutes acceptance.
24. Governing law and jurisdiction
These Terms are governed by the laws of Romania and the European Union, without regard to conflict-of-laws rules. Disputes are subject to the competent courts of Romania, except where applicable law provides for mandatory jurisdiction elsewhere. If the Service is used by a consumer, mandatory consumer-protection rules of the consumer’s country of residence may also apply.
